1. Introduction and Acceptance of Terms
1.1 These Terms & Conditions (“Terms”), together with our Privacy Policy and any other rules, guidelines, or notices posted on our website (collectively, the “Website”), govern your access to and use of orhprop.com, operated by OrhProp (“OrhProp”, “we”, “us”, or “our”).
1.2 By accessing or using the Website, whether as a visitor browsing listings or as a registered Agent, you agree to be bound by these Terms. If you do not agree, please do not use the Website.
1.3 We may update these Terms from time to time by posting a revised version on the Website. We will not necessarily notify you individually of changes. Your continued use of the Website after any update constitutes your acceptance of the revised Terms.
2. Definitions
- “Agent” – a real estate agent or agency registered with the Council for Estate Agencies (CEA), who has registered an account with OrhProp to post Listings.
- “Listing” – any property listing (residential or commercial, for sale or rent) posted by an Agent, including all associated text, photographs, videos, floor plans, and other materials.
- “Content” – all photographs, videos, descriptions, and other materials uploaded by an Agent in connection with a Listing.
- “User” – any person who accesses or uses the Website, whether as a visitor or a registered Agent.
- “Enquiry” – a message submitted by a visitor through the Website’s enquiry form to an Agent regarding a Listing.
- “Fees Schedule” – the then-current pricing and plans published by OrhProp on the Website, as updated from time to time.
3. Eligibility and Account Registration
3.1 You must be at least 21 years of age to register an Agent account or use the Website.
3.2 To post a Listing, you must register for an Agent account. By registering, you represent and warrant that:
- you are legally entitled to market and advertise the properties you list (e.g. registered as a property agent with the Council for Estate Agencies through a licensed property agency as required under Singapore law, or you are the property owner or an authorised representative);
- all information you provide during registration is true, accurate, complete, and current, and you will keep it updated;
- you will maintain the confidentiality of your account credentials and are responsible for all activity under your account.
3.3 We reserve the right to refuse registration, or to suspend or terminate any account, at our discretion, including where we suspect the information provided is false or the account is being used in breach of these Terms.
3.4 The general public may browse Listings on the Website without registering an account.
4. Fees and Billing
4.1 Posting Listings is a paid service for Agents. Fees, pricing structures, subscription tiers (if any), listing quotas, listing duration, and expiry terms are set out in our Fees Schedule, published separately on the Website and updated from time to time. The Fees Schedule is incorporated into these Terms by reference, and OrhProp may adopt, change, or replace its pricing model or mechanism (including but not limited to per-listing pricing, subscription-based pricing, tiered plans, or any combination thereof) at any time by updating the Fees Schedule.
4.2 By purchasing any Listing, subscription, or plan, you agree to the fees and terms applicable under the Fees Schedule in force at the time of purchase.
4.3 We may change fees or pricing structures for future purchases or renewals at any time. Where required by law, we will give reasonable notice before changes take effect for an existing active subscription.
4.4 Listings and any associated quotas are subject to expiry as set out in the applicable Fees Schedule. It is your responsibility to renew before expiry if you wish a Listing to remain active.
4.5 Except as required by law or expressly stated in the applicable Fees Schedule, all fees paid are non-refundable and non-transferable, regardless of whether a Listing is later removed, an account is terminated for breach, or any underlying transaction does not proceed.
4.6 Non-payment of any fees when due entitles us to suspend or remove the relevant Listing(s) and/or account until payment is received.
5. Agent Responsibilities
5.1 You are solely responsible for the accuracy, legality, and completeness of every Listing you post, including price, property details, availability, and any photographs or videos.
5.2 You must have the right to market the property described in each Listing and must not post a Listing for a property you are not authorised to advertise.
5.3 You must own, or have obtained all necessary rights and consents to upload, all photographs and videos included in a Listing, and must not infringe any third party’s intellectual property or privacy rights (including rights of any individuals who may appear in photos/videos).
5.4 You agree not to post Listings that are false, misleading, fraudulent, duplicated, or that violate any applicable law, including regulations issued by the Council for Estate Agencies (CEA).
5.5 We may, but are not obliged to, review or moderate Listings, and we reserve the right to edit, reject, remove, or request changes to any Listing at our discretion, with or without notice.
6. Enquiries and Off-Platform Communication
6.1 Members of the public may submit an Enquiry to an Agent regarding a Listing through the Website. We facilitate the initial introduction only.
6.2 Once an Enquiry is made, further communication (including arranging viewings, negotiating terms, and completing any transaction) typically takes place directly between the Agent and the enquirer via WhatsApp or other channels outside the Website.
6.3 OrhProp is not a party to, and has no visibility, control, or record of, any communication, negotiation, viewing, or transaction that takes place off the Website, including via WhatsApp or any other messaging platform. We do not verify the identity, credentials, or conduct of any Agent or enquirer in connection with such off-platform dealings, and we accept no responsibility or liability for anything that occurs once parties leave the Website to communicate directly.
6.4 We do not guarantee the quality, accuracy, response rate, or outcome of any Enquiry, and Agents acknowledge that Enquiries may also be sent to other Agents listing similar properties.
7. Intellectual Property Rights
7.1 As between you and OrhProp, you retain ownership of the Content (photos, videos, descriptions) you upload. By uploading Content, you grant OrhProp a non-exclusive, worldwide, royalty-free, sub-licensable licence to host, store, reproduce, display, adapt (including resizing, watermarking, or format conversion), and distribute the Content on the Website and in connection with promoting the Website (e.g. search results, social media previews).
7.2 You warrant that you own, or have the necessary rights and consents to upload, all Content you post, and that such Content does not infringe any third party’s copyright, trademark, privacy, or other rights.
7.3 We may apply a watermark bearing the OrhProp name or logo to photographs displayed on the Website. The watermarked version of any image remains subject to the licence described in Clause 7.1.
7.4 As the licence granted under Clause 7.1 is expressly royalty-free, no royalty, fee, or further compensation is payable by OrhProp to any Agent for OrhProp’s use of Content within the scope of that licence, regardless of how the Content is subsequently used, adapted, or promoted on or in connection with the Website.
7.5 All other content on the Website, including our logo, design, layout, code, and compiled data, is the property of OrhProp or our licensors, and may not be copied, scraped, reproduced, or redistributed without our prior written consent.
8. Acceptable Use
8.1 You agree not to:
- use the Website for any unlawful purpose or in a way that breaches any applicable law or regulation;
- scrape, harvest, or systematically extract data or Listings from the Website;
- post spam, unsolicited advertising, or content unrelated to genuine property listings;
- impersonate any person or misrepresent your identity, licensing status, or authority to list a property;
- upload content that is defamatory, obscene, harassing, or otherwise objectionable;
- attempt to interfere with the security or proper functioning of the Website.
8.2 We reserve the right to suspend or terminate access for any User who breaches this Acceptable Use Policy.
9. Disclaimer of Warranties
9.1 The Website and all Listings are provided on an “as is” and “as available” basis. We do not warrant that the Website will be uninterrupted, error-free, or secure.
9.2 We do not verify, and make no representations or warranties as to, the accuracy, completeness, or legality of any Listing, or the identity, licensing status, or trustworthiness of any Agent. Listings are self-declared by Agents, and Users should independently verify all details before relying on them or entering into any transaction.
9.3 We do not endorse, and are not responsible for, any property, Agent, or transaction referenced on the Website. Nothing on the Website constitutes financial, legal, tax, or investment advice, and Users should seek independent professional advice before making property decisions.
10. Limitation of Liability
10.1 To the fullest extent permitted by law, OrhProp shall not be liable for any direct, indirect, incidental, special, or consequential loss or damage arising from:
- your use of, or inability to use, the Website;
- any Listing, Content, or information posted by an Agent;
- any Enquiry, communication, viewing, or transaction conducted off the Website (including via WhatsApp), as described in Clause 6;
- unauthorised access to or alteration of your account or data;
- any dispute between an Agent and a member of the public.
10.2 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Singapore law.
11. Indemnity
11.1 You agree to indemnify and hold OrhProp, its officers, employees, and agents harmless from any claim, loss, or expense (including legal fees) arising from your breach of these Terms, your Listing or Content, or your conduct in connection with the Website (including off-platform dealings arising from an Enquiry).
12. Suspension and Termination
12.1 We may suspend or terminate your account, with or without notice, if:
- you breach these Terms or the Acceptable Use Policy;
- you fail to pay fees when due;
- we receive a request from a law enforcement or government authority;
- your account has been inactive for an extended period;
- we discontinue or materially change the Website’s services.
12.2 Upon termination, your access to the Website will cease, and any active Listings will be removed. Termination does not affect any fees already paid or any rights or liabilities accrued before termination.
12.3 You may close your account at any time by contacting us; outstanding fees remain payable and no refund will be given for unused Listing credit or subscription time, except as required by law.
13. Changes to the Website and Services
13.1 We may modify, suspend, or discontinue any part of the Website or its features at any time, with or without notice, and shall not be liable for any resulting loss.
14. Privacy
14.1 Your personal data is handled in accordance with our Privacy Policy, available at [orhprop.com/privacy-policy], which is incorporated into these Terms by reference. By using the Website, you consent to the collection, use, and disclosure of your personal data as described therein.
15. Governing Law and Disputes
15.1 These Terms are governed by the laws of the Republic of Singapore.
15.2 Any dispute arising from or in connection with these Terms or your use of the Website shall be subject to the exclusive jurisdiction of the courts of Singapore.
16. General
16.1 If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
16.2 Our failure to enforce any provision of these Terms is not a waiver of that provision.
16.3 These Terms, together with our Privacy Policy and Fees Schedule, constitute the entire agreement between you and OrhProp regarding your use of the Website.
16.4 You may not transfer or assign your account to another person.
